Mechanics of the Takeout Premium
The takeout premium is not a tip the buyer leaves out of generosity. It is the arithmetic of two different cost-of-capital curves meeting at one asset. The developer holds the asset at a high required return because they carried construction and lease-up risk. The platform buyer holds the same cash flows at a low required return because they have retired that risk and fund cheaply at scale. Apply a lower discount rate to the same stream and the value rises — mechanically, predictably. The premium is the visible edge of an invisible arbitrage: whoever can hold a given cash flow at the lowest cost of capital wins the right to pay the most for it.

In one sentence, what mechanism actually produces the takeout premium?
Show the answer
The acquiring platform applies a lower cost of capital and thus a lower cap rate to the same de-risked cash-flow stream, so the identical cash flows are worth more in the platform's hands than in the developer's — a cost-of-capital arbitrage on retired risk.
