Reading Candidates and the Compression Risk

Faraday’s take

The premium is readable before the deal. A takeout candidate broadcasts itself: a stabilized, contracted, standardized asset sitting in an active aggregation lane, held by a seller with a reason to sell, priced below what a platform can pay. Learn the signals and you see the deal coming. But the same skill demands its mirror image — knowing when the premium is thin. Premiums compress when capital tightens, when too many developers crowd the same trade, or when the platform's synergies turn out to be fiction. The disciplined reader holds both lenses at once: spot the candidate, then stress-test whether the premium is real or already gone.

Knowledge check

What are the two lenses a disciplined analyst must hold at once when reading a potential takeout?

Show the answer

First, the candidate lens — is this a stabilized, contracted, standardized asset in an active aggregation lane with a motivated seller priced below platform value? Second, the compression lens — is the premium real and durable, or thinned by tight capital, a crowded trade, or synergies that will not materialize?
