Neoclouds and Their Capital Structures

Faraday’s take

A neocloud is an asset-financing business wearing a software company's clothes. Its whole existence is a timing bet: enormous capital out now to buy chips, revenue back slowly over years of rentals. Every layer of the capital stack — equity, secured debt, SPVs, leases, anchor contracts — lowers the cost of that bet and raises its fragility. Read one the way you read an airline, not a SaaS firm. The multiple lives in the software story; survival lives in the equity cushion, the covenant headroom, the hidden lease obligations, and the concentration of the few contracts holding the whole structure up.

Knowledge check

Why can a neocloud group look healthy in aggregate while individual parts of it are under real stress?

Show the answer

Because secured debt is often pushed into special-purpose vehicles that ring-fence a specific pool of chips and contracts. Group-level financials blend everything into an average, so a stressed vehicle — one with falling utilization or a weakening anchor tenant — can be masked by healthier assets elsewhere. To see the real risk you must follow the assets and debt into each vehicle rather than trusting the consolidated numbers.
