The Anatomy of a Host Agreement

Faraday’s take

A host agreement is a template until the moment it isn't. The boilerplate gets you eighty percent of the way; the last twenty percent is where the deal is won or lost, and it's almost always in three places: how the annual payment escalates, what triggers it, and what happens if the facility gets sold. I read these instruments the way I'd read a lease, because that's essentially what they are. The town is a landlord renting out its political consent, and the sophisticated landlords have learned to index the rent, tie it to actual load, and make it survive a change of ownership. The naive ones sign a flat number for twenty years and watch inflation eat it.

Knowledge check

What are the three clauses in a host agreement that Faraday says most often determine whether the deal favors the community or the operator over time?

Show the answer

The payment escalation mechanism (whether it is indexed to inflation or load rather than flat), the trigger that starts payment obligations (energization or megawatts online versus permit issuance), and the assignment or change-of-ownership clause that determines whether the obligations survive a sale of the facility to a new owner.
